Naro Beta Agreement & Privacy Notice

This Beta Test Agreement ("Agreement") is between Sonocent Limited of 4 The Boulevard, Leeds Dock, Leeds, West Yorkshire, LS10 1PZ, United Kingdom and its affiliates (us) and you (you). "Naro Beta" refers to early release versions of our Naro Planner product.
"Access Period" means the time you're allowed to use Naro Beta, and begins from when you sign up and ends when we remove access, your access expires, or, you stop using Naro Beta, as explained in the Termination section below.
Here's what you're agreeing to:
License. We're providing you with a license to use Naro Beta, but it's only for personal use, including testing and providing feedback. This license isn't exclusive, and you can't transfer it or give it to someone else. Please don't modify, disassemble, copy, or share Naro Beta.
Intellectual Property. We own Naro Beta and all its related Intellectual Property, which includes things like patents, copyrights, trademarks, and trade secrets. This includes the components we've developed ourselves, as well as any third-party elements incorporated into Naro Beta, where we have the necessary licenses or rights to use them. You're simply getting a limited license to use Naro Beta for your personal use, and this Agreement doesn't give you any ownership over it or anything we create.
Confidentiality. We both agree to keep each other's Confidential Information private. "Confidential Information" is any non-public information shared between us (spoken, shown, or written) that's marked confidential or clearly intended to be, including trade secrets, business plans, and customer data. We both agree to only share Confidential Information with those who truly need it for the purposes of this Agreement, and they must also keep it confidential. We may both disclose Confidential Information if legally required and neither of us will use the other's Confidential Information for purposes beyond this Agreement.
Responsible Use. Please use Naro Beta responsibly. If we see actions that go against the purpose of this Agreement, like intentionally trying to damage Naro Beta or our systems, we’ll have to remove your access right away.
Termination. This Agreement naturally ends when:
We launch a new, non-beta version of the product, at which point the new terms and conditions will replace this Beta Agreement;
Your access to Naro Beta is removed by us or expires;
Naro Beta is withdrawn from the market and is no longer available; or
You stop using Naro Beta.
Your Data & Feedback. We’ll collect data about your use of Naro Beta to help us improve it. The specific data we collect and how we’ll use it is covered in the Naro Beta Privacy Notice below. We appreciate your feedback on what works well, what doesn't, and any problems you find, so that we can improve our products and services. We’ll provide opportunities to share feedback with us throughout the Access Period.
Naro Beta Disclaimer. Naro Beta is still under development and might have some bugs. It's provided "as is" without any warranties. We're not liable for any issues you might experience while using it. Our total liability to you under this Agreement is limited to £50.
Privacy: The Naro Beta Privacy Notice (see Schedule 1) applies to your use of Naro Beta and is part of this Agreement.
Other Important Stuff: This Agreement is governed by the laws of England and Wales. You can't transfer this Agreement to anyone else, and we can only change this Agreement if we both agree in writing. If a court decides that any part of this Agreement isn't valid, the rest of it will still stay in effect.

Schedule 1 Naro Beta Privacy Notice
This Naro Beta Privacy Notice outlines the personal data we collect and how it’ll be handled specifically in relation to your interactions with Naro Beta.
The creator of Naro Beta and data controller is Sonocent Limited of 4 The Boulevard, Leeds Dock, Leeds, West Yorkshire, LS10 1PZ, UK. This Naro Beta Privacy Notice is intended to supplement our website and product privacy notice available at https://genio.co/privacy-notice, which provides further information on the personal data we process as a business and how we safeguard it, as well as how to exercise your privacy rights.
We’ll collect and process the following types of personal data:
Account Information: Your name and email address.
User-Generated Content: Content you create and input into Naro Beta, including tasks, task metadata, task notes, URLs or third-party links, class information, assessment/deadline information, and any AI-generated content created using Naro Beta.
Interaction Data (including with AI Features): Data from your interactions with Naro Beta, including how many times you log in, features you engage with, preferences, usage patterns, chat content, and records of edits, rejections, or acceptances of AI output and data allowing us to compile user session replays.
Optional Calendar Integration Data: If you choose to connect external calendar(s), we collect the name of the calendar provider, calendar events, and any calendar event metadata associated with the connected calendar (titles, descriptions, timings etc.).
Support Request Information: Information you provide when submitting support tickets via the Naro website or directly to support@naroplanner.com, including the nature of your query and any associated personal data.
Survey and Feedback Information: If you choose to participate in surveys or provide feedback during or after the Access Period, the specific details about the data we’ll collect from you will be provided at the time of your participation, and we’ll ask for your consent.
Purposes of processing:
Account Setup and Service Delivery: To set up your account, provide you with access to Naro Beta, and deliver the ‘flexible study planner’ service you’ve signed up for.
Communication: To communicate with you via email about our products and services, this includes both transactional communications and marketing communications (you can opt out of marketing communications at any time).
Customer Support: To respond to support requests you submit.
Product Improvement and Development: To evaluate and improve existing product capabilities, and to guide the development of potential new features for future releases (both beta and non-beta releases). This may include manual data analysis and AI model training or processing.
Legal Basis for processing:
To fulfill our contract with you: For setting up your account, providing access to the product, delivering the core ‘flexible study planner’ service, and providing customer support.
Legitimate interest: For communicating with you about our products and services, and for improving and developing our software, including through unsolicited feedback you choose to share with us, new feature development, AI training, and analysis of user interaction data.
Consent: For processing data from optional calendar integrations, based on your choice to connect the calendar and for processing data collected through surveys and feedback, where we explicitly seek your consent at the time of collection.
